July 28, 2010—VITEC Multimedia—a worldwide leader in advanced digital video solutions—announced completion of the purchase of both the Optibase video business and the Focus Enhancements’ Systems Group. With these purchases, VITEC now adds industry-leading IPTV solutions, and video acquisition and management products to its lineup, including Media Gateway video encoders and decoders, FITIS Full Motion Video and EZ TV IPTV solutions, FS Portable DTE Recorders, ProxSys Media Asset Management solutions, media converters, and OEM-ready media hardware and software.

Now, customers in the broadcast, government, military, medical, education, industrial, and production markets can depend on VITEC throughout the entire video production process including acquisition, conversion, image processing, MPEG compression, recording, media asset management, streaming, decoding and delivery.

FP7-ICT SkyMedia Project

UAV-based capturing of HD/3D content for immersive media experiences

The objective of SkyMedia project is to explore, design and demonstrate a novel multimedia end-to-end architecture that can provide unique immersive media experiences to audiences during live events. Innovative 3D coding methods, on which VITEC Multimedia is mainly implied, and advanced transcoding methods will enable to provide and adapt multimedia content to different distribution networks and rendering methods. Unique, interactive walk-through mid-air screens will materialize high-res 3D pseudo-holographic scenes. All technologies will come together to form a very advanced multimedia service platform.




CELTIC MediaMap Project

New Audiovisual Indexed Platform for UGC Enhancement

MediaMap is a European project currently running under the CELTIC programme umbrella. MediaMap aims at promoting new collaborative audiovisual production services using the network as a federative channel. The project includes new concepts using semantics and ontology elements adapted to the audiovisual world in order to create a high level contextual search engine and a new audiovisual web portal. VITEC Multimedia builds a new interactive networking camcorder, with an ingest platform and a camera mate, in order to create new writing methods.




ITEA2 HDTVNext Project

Deploying Next generation of High Definition Television


 
HDTVNext is a European project currently running under the ITEA2 programme umbrella. The HDTVNext project aims at investigating and developing the next generation of High Definition TV. VITEC Multimedia is developing a VML-based platform that might allow customers to encode HDTV live content and to provide format conversion tools between JPEG2000 and MPEG-AVC HP in order to initiate the convergence between Digital Cinema and HDTV.




CELTIC DRM Solution NG Project

Providing a trusted environment for streaming audio and video


 DRM Solution NG is a European project currently running under the CELTIC programme umbrella. DRM Solution NG aims at building a DRM solution based on the SIM card for mobile devices, oriented to convergent networks through IMS services and supporting different DRM technologies. VITEC Multimedia provides real-time MPEG advanced audio and video encoding technologies, develops multiplexed audiovisual content into PDCF format and audiovisual content encryption/decryption compliant with the OMA DRM v2.0 specifications.




VMD SAS-VH2 Project

Secure Access System to Rail transport for Handicapped persons


In order to answer to the European Directive about the improvement of the access to public transports by handicapped persons, the French National Railways has launched a research project that has been labelled by the Sustainable Town and Mobility Competitiveness Cluster. A mechatronic system, enabling to fill the gap between the passenger car and the railway platform, will be controlled by an embedded smart camera developed for this purpose by VITEC Multimedia




FP6-IST SUIT Project

Scalable, Ultra-fast and Interoperable Television

 
 
 
SUIT is a European research project that will explore several techniques in the context of the universal interactive television and network convergence. The project will consider an end-to-end chain composed of a playout, last mile networks, and terminals of different computational and display capacities. It will make use of the most recent technologies like MPEG-4 SVC and MPEG-21 DIA.VITEC Multimedia will develop a real-time platform that enables to encode and decode scalable AVC/H.264 video streams starting from handheld up to high definition formats.




PREDIT SARI/VIZIR Project

Improving driver safety using smart video technology

 
 
French PREDIT initiative for innovation in terrestrial transport has launched a research program named SARI (Road Automated Surveillance for drivers and road managers Information) in which VITEC Multimedia will experiment a new driver system information based on automated road traffic analysis with the help smart video surveillance sensors and dynamic road signs. The objective is to show that a driver can be informed by road infrastructure about the current situation when approaching a risky area.




RIAM ARCHIPEG Project

A programmable architecture for high performance video applications


ARCHIPEG is a research and development project labelled by the French RIAM research initiative for audiovisual and multimedia. Its main objective is to design and develop a modular, programmable, evolutionary and scalable processing architecture enabling to implement advanced video coders for HDTV and D-Cinema. The ARCHIPEG project enabled VITEC Multimedia to boost developments on its VP3-70 HD multiprocessor platform.

Optibase Announces Sale of its Video Business to a Subsidiary of VITEC Multimedia

HERZLIYA, Israel, March 16, 2010 Optibase Ltd. (Nasdaq: OBAS) (the "Company"), a leader in advanced digital video solutions, today announced that it has entered into an asset purchase agreement with Optibase Technologies Ltd., a wholly owned subsidiary of VITEC Multimedia ("Vitec") pursuant to which Optibase Ltd. and its subsidiary Optibase Inc. (collectively, "Optibase") will sell their entire video business to Vitec (the "Business" and the "Transaction", respectively).

Under the terms of the transaction, which was approved by the Board of Directors of both companies, in consideration for the sale of the Business, Vitec will pay the Company an aggregate amount of US $8 million in cash of which US $1 million will be deposited in escrow for a 2-year period as a security, inter alia, for breach or material inaccuracy relating to Optibase's representations and warranties. In addition, Optibase and Vitec agreed on an earn-out mechanism pursuant to which 45% of Vitec's revenues deriving from the Business exceeding $14 million in the year following the closing of the Transaction will be paid to Optibase.

Consummation of the Transaction is subject to the fulfillment of certain conditions precedent standard for transactions of this nature, including, inter alia, receipt of all necessary approvals and permits and the Company’s shareholders’ approval. The Transaction is expected to close during the second quarter of 2010. However, there is no assurance that the parties will be able to satisfy the conditions precedent to the Transaction by the time set in the agreement or at all.

Upon signing of the Transaction, Vitec deposited US $500,000 in escrow to be paid to Optibase if closing does not take place within a specific period of time from signing, subject to certain limited circumstances, principally relating to non fulfillment of certain closing conditions by Optibase, in which case, such funds will be returned to Vitec.

“Following an offer from Vitec, we have decided to pursue this opportunity as we believe that Vitec is the right company to ensure the continuity of the business in its existing markets as well as maintaining the Optibase brand”, commented Tom Wyler, President & Chief Executive Officer of the Company. “As a pioneer and a market leader in the field of digital video, Optibase proved to be a significant player in the market as well as being a greenhouse for such advanced technologies, and I’m sure that it will continue this course in its new form.”

ITEA is a Eureka strategic cluster programme for advanced research and development in embedded and distributed software. The ITEA annual Award has been delivered in October 2003 to the AMBIENCE project for its outstanding contribution to the ITEA programme. AMBIENCE project partners, to which belongs VITEC Multimedia, were warmly congratulated by his Royal Highness Prince Philip of Belgium during the ITEA Symposium that took place in Leuven. In this project which is dedicated to the design and the building of an ambient intelligence infrastructure, VITEC Multimedia contributed to person identification using facial recognition.
